Die PricewaterhouseCoopers Legal Aktiengesellschaft Rechtsanwaltsgesellschaft (PwC Legal) hat gemeinsam mit der Menold Bezler Rechtsanwälte Partnerschaft mbB (Menold Bezler) die Mayer-Kuvert-network GmbH bei ihrer Restrukturierung umfassend rechtlich beraten. Im Rahmen der Restrukturierung erwarb ein Family Office eine 80 %-ige Mehrheitsbeteiligung an der inhabergeführten Mayer-Kuvert-network GmbH von deren Altgesellschaftern. In diesem Zuge löste das Family Office auch existierende Gesellschafterdarlehen und umfangreiche Bankdarlehen der Mayer-Kuvert-network GmbH sowie diverser Tochtergesellschaften ab.

 

 

PwC Legal and Menold Bezler advise Mayer-Kuvert-network GmbH on comprehensive restructuring process

PricewaterhouseCoopers Legal Aktiengesellschaft Rechtsanwaltsgesellschaft (PwC Legal) and Menold Bezler Rechtsanwälte Partnerschaft mbB (Menold Bezler) together provided Mayer-Kuvert-network GmbH with comprehensive advice on all aspects of its corporate restructuring measures. In the course of the restructuring, a Family Office acquired an 80% majority holding in owner-run Mayer-Kuvert-network GmbH from its former shareholders. In the course of this transaction, the Family Office also discharged existing shareholder loans as well as substantial bank loans taken out by Mayer-Kuvert-network GmbH and several of its subsidiaries.

The legal measures and negotiations for the entire M&A transaction were overseen by PwC Legal Stuttgart. In addition to the structuring of the transaction itself and the contractual negotiations, the PwC network also carried out legal due diligence procedures at Mayer-Kuvert-network GmbH’s foreign subsidiaries in Belgium, Bulgaria, Czech Republic, Denmark, France, Hungary, Ireland, Latvia, Lithuania, Netherlands, Norway, Poland, Russia, Slovakia, Sweden, Switzerland, United Kingdom and the Ukraine.

Menold Bezler supervised the financial reorganisation of the entire Mayer-Kuvert-Group. This included the preparation and implementation of an insolvency plan procedure under self-administration at the subsidiary BlessOf GmbH & Co. KG. In addition, Menold Bezler performed the legal due diligence at the German companies within the Mayer-Kuvert-network GmbH group. With more than 35 companies in 18 countries, Mayer-Kuvert-network is Europe’s largest envelope manufacturer. The group produces almost 20 million envelopes every year on the company’s 136 roller- and 59 flat-sheet machines. The Mayer-Kuvert-network group has around 1,750 employees across Europe. The purchasers are from the immediate circle of the Schwarz Group, Neckarsulm.
